1. Role Distinction (Intermediary Clause)
It is crucial to stipulate that Fastriom only provides the technological platform (management software, ordering application, QR codes).
The Rule: The contract for the sale of food or products is concluded directly between the End Customer and the Merchant (restaurant/store).
The Impact: Fastriom is not responsible for food quality, kitchen order errors, food poisoning, or the unavailability of a product in the store.
2. B2B Conditions (For Restaurateurs and Merchants - Fastriom Pro)
This section governs your relationship with the professionals who install your kiosks or QR codes:
- Subscription and Commissions: Detail the pricing model (monthly fees for SaaS/kiosk usage and/or percentage taken on digital transactions).
- Menu / Catalog Accuracy: The merchant is solely responsible for updating their prices, taxes (VAT), and the mandatory display of allergens on their digitized catalog.
- Equipment Ownership: If you provide or rent tablets or physical QR code stands, specify who is responsible in case of breakage or theft in the establishment.
3. B2C Conditions (For End Customers - Fastriom)
Intended for users who scan QR codes at the table or order remotely:
- Order and Payment Process: Specify the exact moment when the order becomes firm and final (e.g., upon validation of the in-app payment).
- Cancellation Policy: Given that this concerns catering or fast-moving consumer goods, specify that the usual right of withdrawal does not apply once the merchant has started preparing the order.
- Geolocation: As the application uses location to suggest nearby restaurants, mention that the user must accept sharing their location for the service to function properly.
4. Conditions for Delivery Drivers (Fastriom Services)
If your platform manages delivery logistics:
- Driver Status: Specify very clearly whether the delivery drivers are independent contractors (freelancers/self-employed) or if they are employed directly by the merchants. Fastriom must not be reclassified as an employer.
- Liability during transport: Define at what point product liability is transferred (from the merchant to the delivery driver, then from the delivery driver to the customer).
5. Financial Flow Management
Since the application processes money flows between customers, merchants, and delivery drivers:
- Specify that Fastriom uses a third-party secure payment service provider (such as Stripe, Worldline, etc.).
- Indicate the timeframes for remitting collected funds to merchants (e.g., weekly or monthly transfer after deducting commissions).
6. Technical Resilience and Bugs
"Contactless" and table ordering rely 100% on the network.
Exclude your liability if an Internet network failure (4G/5G or restaurant Wi-Fi) prevents a customer from placing an order or blocks the receipt of orders on the restaurateur's dashboard.
7. Applicable Law (Switzerland)
Since your company is based in Switzerland (in Martigny), your T&Cs must imperatively mention:
- Applicable Law: Swiss law.
- Legal Venue (Jurisdiction): The competent courts of your registered office (for example, the Court of Martigny or the Canton of Valais), to settle disputes with merchants.
